These Terms of Service ("Terms") constitute a binding agreement between you ("User", "you") and Godroox LLC, a Florida limited liability company with registered address at 7480 Stone Creek Trail, Kissimmee, FL 34747 ("Godroox", "we", "us"), regarding your use of the GodManager platform available at godmanager.us and related services (the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
GodManager is a software-as-a-service (SaaS) platform designed for property managers in the United States to manage properties, tenants, vendors, maintenance jobs, expenses, owner payments, billing, and related operational tasks. The Service is provided on a subscription basis.
We may add, change, or remove features over time to improve the Service.
2. Accounts and Eligibility
- You must be at least 18 years old and able to form a binding contract to use the Service.
- Accounts are provided to client organizations (property management companies) and to individuals authorized by them, as well as to property owners, tenants, and vendors who are granted portal access.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at contact@godmanager.us if you suspect unauthorized use.
- You agree to provide accurate and complete information and to keep it up to date.
3. Client Responsibilities and Data
- Client organizations are responsible for the data they enter into the Service, including property, tenant, owner, and vendor information, and for ensuring they have the right to enter and process that data.
- Where the Service processes personal data on behalf of a client organization, the client is the data controller and Godroox acts as a processor, as described in our Privacy Policy.
- You agree not to enter data into the Service in violation of any applicable law or third-party rights.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, copy, or create derivative works of the Service except as permitted by law.
- Use the Service to send spam or to store or transmit malicious code.
- Resell or sublicense the Service without our written consent.
We may suspend or terminate access for violations of these Terms.
5. Subscriptions, Fees, and Payment
- Access to the Service is provided on a subscription basis. Fees, billing frequency, and plan details are presented at signup or as otherwise agreed.
- Subscription payments are processed by our payment provider, Stripe. You authorize us and Stripe to charge your designated payment method for applicable fees.
- Unless otherwise stated, fees are non-refundable except as required by law.
- We may change fees with reasonable advance notice. Continued use after a fee change takes effect constitutes acceptance.
- If a payment fails or a subscription lapses, we may suspend or limit access until payment is resolved.
6. Bank Account Connection (Plaid)
If you choose to connect a bank account, the Service uses Plaid Inc. to verify and link the account. By connecting an account, you authorize this verification. Godroox does not use Plaid to move funds, initiate payments, or access transaction history, and does not receive or store your online banking credentials. Your use of Plaid is also subject to Plaid's terms and privacy policy.
7. Third-Party Services
The Service integrates with third-party providers (such as hosting, storage, payment, email, banking verification, and accounting services) to function. Your use of those integrations may be subject to the third party's own terms. We are not responsible for third-party services, and their availability is outside our control.
8. Intellectual Property
- The Service, including its software, design, and content (excluding data you enter), is owned by Godroox and protected by intellectual property laws. "GodManager" is a trademark of Godroox LLC.
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription, solely for your internal business purposes and subject to these Terms.
- You retain ownership of the data you enter into the Service. You grant us a license to host, process, and display that data as necessary to provide the Service.
9. Confidentiality
Each party may have access to confidential information of the other. Each party agrees to protect the other's confidential information and to use it only as necessary to perform under these Terms.
10. Service Availability and Support
- We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or factors beyond our control.
- Support is provided through the channels indicated within the Service or at contact@godmanager.us.
11. Data Backup and Portability
We maintain backups at the infrastructure level as part of operating the Service. You are responsible for retaining your own copies of important data where appropriate. Upon request and where feasible, we will assist with export of your data in a common format.
12. Termination
- You may cancel your subscription at any time as described in the Service or by contacting us.
- We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to the Service or others.
- Upon termination, your right to use the Service ends. We will handle your data in accordance with our Privacy Policy and applicable retention practices, including a limited recovery window before deletion from production systems.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
GodManager is a management tool. It does not provide legal, tax, accounting, or financial advice. You are responsible for your own compliance with laws applicable to your property management business.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GODROOX AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to indemnify and hold harmless Godroox from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your violation of these Terms or applicable law.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, unless otherwise required by applicable law.
